Content Usage & Licensing Agreement – Push Media Group

Effective Date: 15/04/26

This Content Usage & Licensing Agreement (“Agreement”) outlines the terms under which Push Media Group (“we”, “us”, “our”) licenses photography and videography content (“Content”) to clients (“you”, “your”).

1. Ownership of Content

All content created by Push Media Group remains the intellectual property of Push Media Group in accordance with the Copyright, Designs and Patents Act 1988.

No ownership rights are transferred to the client unless explicitly agreed in writing.

2. Licence Grant

Upon full payment, we grant you a non-exclusive, non-transferable, limited licence to use the Content for agreed purposes.

This licence allows you to use the Content strictly within the scope defined at the time of booking or in your proposal.

3. Permitted Usage

Usage rights will be specified per project and may include:

  • Social media (organic posts)

  • Website and digital platforms

  • Internal business use

  • Marketing and promotional materials

All usage must remain within the agreed scope.

4. Usage Tiers (Important for Commercial Work)

Unless otherwise agreed, licensing is structured as follows:

4.1 Organic Use

  • Social media posts (non-paid)

  • Website usage

  • Email marketing

4.2 Paid Advertising

  • Social media ads

  • Google/YouTube advertising

  • Sponsored content

Note: Paid usage requires an additional licensing fee.

4.3 Commercial Campaigns

  • Large-scale campaigns

  • National or international distribution

  • Broadcast or TV use

These require separate negotiation and pricing.

5. Duration of Licence

Unless otherwise agreed:

  • Standard licences are granted for 12 months from the date of delivery

Extended usage periods can be arranged for an additional fee.

6. Territory

Licence usage is restricted to:

  • United Kingdom unless otherwise agreed

Global or multi-region usage must be licensed separately.

7. Restrictions

You may not:

  • Resell, sublicense, or distribute the Content to third parties

  • Alter, edit, or heavily modify the Content without permission

  • Use the Content for purposes outside the agreed scope

  • Use the Content in a way that is defamatory, misleading, or unlawful

8. Third-Party Usage

If third parties (e.g. agencies, partners, publications) wish to use the Content:

  • A separate licence must be obtained from Push Media Group

9. Buyout / Full Rights Option

Full usage rights (buyout) may be purchased, which may include:

  • Unlimited usage

  • No time restrictions

  • Global usage rights

Buyouts are priced significantly higher than standard licences and must be agreed in writing.

10. Credit & Attribution

Where reasonably possible, credit should be given:

This is particularly expected for:

  • Editorial use

  • Social media posts

11. Portfolio & Self-Promotion

Push Media Group retains the right to use all Content for:

  • Portfolio (website, social media)

  • Marketing and promotional purposes

Confidentiality or embargo agreements must be agreed prior to the shoot.

12. Breach of Licence

Unauthorised use of Content (including exceeding agreed usage) will result in:

  • Additional licensing fees

  • Potential legal action

Fees may be charged at 2–5x standard licensing rates for misuse.

13. Indemnity

You agree to indemnify and hold harmless Push Media Group against any claims arising from:

  • Misuse of Content

  • Use beyond agreed licensing terms

14. Governing Law

This Agreement is governed by the laws of England and Wales.
